Terms & Conditions
Please read these Terms carefully before using the SalesFi platform.
1. Introduction & Acceptance of Terms
- These Terms & Conditions (Terms), read together with our Privacy Policy, govern access to and use of the website salesfi.in, mobile application, and related services (together, the Platform) operated by Cosmos Financial Technologies Limited, a company incorporated under the Companies Act, 2013, having its registered office at C-756, New Friends Colony, New Delhi, IN-110025 (SalesFi, we, us, our).
- By accessing the Platform, registering an account, or applying for any financing product, you (User, you, Customer) confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
- These Terms are governed by, and should be read in conjunction with, applicable Indian law, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and the IT (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (SPDI Rules).
- SalesFi is a technology platform that facilitates purchase order (PO) and sales invoice financing. Where financing is disbursed by a third-party RBI-regulated NBFC or bank lending partner, additional loan/facility agreements executed directly with that partner will also apply and will prevail over these Terms on matters of credit, disbursement and repayment.
2. Definitions
- Personal Information means information relating to a natural person which, either directly or in combination with other information, is capable of identifying that person — including name, contact details, identification numbers, and financial information.
- Business Information means information relating to a User’s business entity, including PAN, GSTIN, incorporation documents, purchase orders, invoices, and financial statements.
- Sensitive Personal Data or Information (SPDI) has the meaning given under the SPDI Rules, and includes passwords, financial information, and biometric data.
- Lending Partner means any RBI-regulated NBFC, bank or financial institution that underwrites and disburses financing facilitated through the Platform.
- Services means PO financing, invoice discounting, order-book financing and related credit, verification and servicing facilities offered through the Platform.
- Affiliate means any entity that directly or indirectly controls, is controlled by, or is under common control with SalesFi.
3. Eligibility, Registration & KYC
- The Platform is intended for use by businesses and their authorised representatives who are at least 18 years of age and legally competent to enter into a binding contract.
- Registration requires accurate business and personal details, and completion of Know Your Customer (KYC) verification, including identity proof, address proof, PAN, GSTIN, bank account details and any other document required by applicable law or our Lending Partners.
- If requested information or documentation is not provided, or is found to be inaccurate, SalesFi reserves the right to suspend, reject, or terminate an application or account.
- Users are solely responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account.
4. Description of Services
- SalesFi enables eligible businesses to submit purchase orders for financing assessment. Approval, financing amount, tenure, interest/discount rate and fees are determined on a case-by-case basis by SalesFi and/or its Lending Partners, based on credit worthiness, transaction quality and applicable risk policies.
- SalesFi acts as a technology and servicing platform; where a Lending Partner is involved, the credit decision and disbursement is made by that Lending Partner, and a separate facility/loan agreement will govern the terms of that financing.
- All indicative rates, limits and timelines shown on the Platform are illustrative and subject to change until a formal sanction/offer letter is issued.
5. Collection and Use of Personal & Business Information
5.1 Categories of Information Collected
- Identity Data — full name, date of birth, address, PAN, Aadhaar (or equivalent), nationality.
- Business Data — entity name, CIN/GSTIN, incorporation certificate, director/shareholder details.
- Financial Data — bank account details, financial statements, credit history, purchase orders and invoices.
- Contact Data — email address, phone number, registered/correspondence address.
- Technical & Usage Data — IP address, device information, browser type, cookies, click-stream and navigation data.
- Employment/Trade Data — employer or trade-partner details relevant to the financed transaction.
- KYC/Compliance Data — identity and address proof documents, regulatory filings.
5.2 Purposes of Collection and Use
- Verifying identity and processing financing applications.
- Assessing creditworthiness and underwriting risk, including via credit bureaus and Lending Partners.
- Administering, disbursing and servicing approved financing facilities.
- Fraud screening, prevention and detection.
- Complying with applicable legal, regulatory and KYC/AML requirements.
- Communicating about applications, offers, and Platform updates.
- Market research, analytics and improving the Platform.
- Marketing of SalesFi or group/partner products, only where consented to.
5.3 Automatic / Technical Data Collection & Cookies
When Users interact with the Platform, we automatically collect IP address, browser type/version, operating system, session data, and navigation/click-stream behaviour through cookies and similar technologies, to operate, secure and improve the Platform. Most cookies are session cookies deleted upon logout; Users may manage or disable cookies via browser settings, though this may limit access to certain features.
6. Consent & User Rights
- Users may grant or withhold consent for specific uses of their Personal Information, subject to the minimum information required to provide the Services.
- Users have the right to request a copy of the Personal Information held about them, request correction or updating, and request deletion, subject to applicable law and our record-retention obligations.
- Users may opt out of marketing communications at any time and may register their preference under applicable Do Not Disturb (DND) frameworks.
- Users are cautioned to never share sensitive details such as passwords, OTPs, or full bank credentials with anyone claiming to represent SalesFi — our team will never ask for such information over call, SMS or email.
7. Sharing and Disclosure of Information
- Information may be shared with Lending Partners, credit bureaus, KYC/identity-verification agencies, payment processors, cloud/technology service providers, and collection/recovery agents, strictly to the extent necessary to provide the Services.
- Such third parties are contractually bound to use the information only for the purpose for which it was shared, and to maintain equivalent confidentiality and security standards.
- Information may be disclosed to government, regulatory or law-enforcement authorities where required or permitted under Applicable Law, or where SalesFi believes in good faith that disclosure is necessary to comply with legal process, protect its rights, or prevent fraud.
- SalesFi does not sell Personal Information to unrelated third parties for their independent marketing purposes.
8. Data Security & Retention
- SalesFi applies reasonable technical and organisational security measures — including access controls, encryption in transit, and secure storage — to protect information against unauthorised access, alteration, or disclosure.
- Personal and Business Information is stored on servers located in India (or as otherwise required by applicable regulation) and is retained only as long as necessary to fulfil the purposes described in these Terms, or as required by law, after which it is securely disposed of.
9. Fees, Charges & Repayment
- Applicable processing fees, discounting/interest rates, late-payment charges and other costs will be disclosed to the User in the sanction letter/offer prior to acceptance of any financing facility.
- Repayment obligations, due dates and default consequences will be governed by the specific facility/loan agreement executed for each financing transaction, in addition to these Terms.
- SalesFi/Lending Partners reserve the right to report delayed or defaulted payments to credit bureaus in accordance with applicable regulatory guidelines.
10. User Obligations & Prohibited Conduct
Users agree not to:
- Provide false, misleading or fraudulent information or documents, including fabricated purchase orders or invoices.
- Violate the integrity or security of the Platform, or attempt unauthorised access to any part of it.
- Transmit viruses, malware or other harmful code through the Platform.
- Copy, reverse-engineer, decompile or disassemble any part of the Platform.
- Use the Platform for any unlawful purpose or in violation of applicable law.
- Impersonate any person or entity, or misrepresent an affiliation with SalesFi.
11. Intellectual Property
All content on the Platform — including text, graphics, logos, software and design — is owned by or licensed to SalesFi and is protected under applicable intellectual property laws. Users may not reproduce, distribute, or create derivative works from Platform content without prior written consent.
12. Disclaimers & Limitation of Liability
- The Platform and its content are provided on an as is; and as available; basis, without warranties of any kind, to the extent permitted by applicable law.
- SalesFi does not guarantee approval of any financing application; all approvals are subject to the credit policies of SalesFi and/or its Lending Partners.
- SalesFi is not liable for losses arising from Platform downtime, third-party service failures, or reliance on indicative (non-final) figures shown before formal sanction.
- Nothing in this section limits liability that cannot be excluded under applicable law.
13. Indemnity
Users agree to indemnify and hold harmless SalesFi, its Affiliates, officers, employees and Lending Partners from and against any claims, losses, or liabilities arising from the User’s breach of these Terms, provision of false information, or violation of applicable law.

We aim to acknowledge grievances within 48 hours and resolve them within 30 days, in line with applicable regulatory timelines.
15. Amendment of Terms
SalesFi may revise these Terms from time to time to reflect changes in the Services, legal or regulatory requirements. The updated version will be posted on the Platform with a revised Effective date. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Courts at Delhi India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, subject to any dispute-resolution or arbitration clause set out in a User’s specific facility agreement.
17. Miscellaneous
- Waiver: No failure or delay by SalesFi in exercising any right under these Terms operates as a waiver of that right.
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
- Force Majeure: SalesFi is not liable for any failure to perform due to causes beyond its reasonable control.
- Entire Agreement: These Terms, together with the Privacy Policy and any facility-specific agreement, constitute the entire agreement between the User and SalesFi regarding the Services.
